  3. The affairs of the partnership shall determined by majority vote,
  4. with votes cast in the same percentage as capital contributions.

  7. Each partner shall have the right to manage the affairs of the
  8. partnership in the ordinary course of the partnership's business.
  9. However, no partner shall have the authority to:

  12. a) confess judgment against the partnership;

  15. b) borrow on the credit of the partnership or guarantee the debts
  16. of others with partnership credit except for minor transactions
  17. under $ 500.00 for regular operating expenses of the partnership;

  20. c) convey substantially all of the partnership assets
  21.  
  22.  
  23. without prior approval by majority vote.
  24.  
  25. This partnership shall terminate upon the death, bankruptcy or
  26. incompetency of any partner. Thereupon the remaining partners
  27. shall act as trustees for the partners and shall promptly wind up
  28. the affairs of the partnership.
